How to Track a Deductible Basket
How to track a deductible basket is a buyer-absorbs-the-threshold ledger from signing through claim notices, not a tip / first-dollar tab and not a general basket-tally tab. For each signed deal, log whether the basket is a deductible, the threshold copied from the PDF, the excess-only arithmetic (buyer absorbs up to the threshold forever), the deductible-majority prints, listed exceptions, how the row overlaps with tip-basket-tracking and indemnity-basket-tracking, and status. What this ledger is (and is not)
A deductible basket is a threshold the buyer absorbs forever. Covered losses below the threshold stay with the buyer. The seller pays only the excess above the threshold (subject to the cap and carve-outs). That is different from a tip / first-dollar / dollar-one basket, which, once crossed, pays from dollar one. Goulston and Storrs, What's Market: Indemnity Baskets (JDSupra, September 13, 2024), defines deductible versus tipping / first-dollar / dollar-one and reports that deductibles have become increasingly common, now seen in 2/3 to 3/4 of transactions in recent studies. Most common basket exceptions in that recap: fundamental representations, standalone indemnities, and covenants. ABA 2023 sample: 108 deals, $30M to $750M. Morse, What's Market: Indemnification Caps and Baskets in M&A Transactions (September 25, 2024), citing the ABA Private Target Study covering full-year 2022 and Q1 2023, reports a majority deductible (67%), and that all RWI-referenced deals in that snapshot had deductible baskets. Excess-only arithmetic. Buyer absorbs up to the threshold forever. Seller pays only the excess. Morse's deductible example (on the live indemnity-basket page): a $1 million deductible with $1.5 million of losses pays $500,000. Copy whether the PDF pays only the excess. Do not treat a crossed deductible as if it tipped to first dollar.

The general tally is the running aggregate. The cap is the ceiling. This row is whether the buyer absorbs up to the threshold forever, and how large that threshold is.
When a post-close claim arrives, log whether the PDF used a deductible, the threshold, and whether exceptions took the claim outside the basket. That trail is what indemnity counsel will ask for first.
When the ledger holds

It fails when you invent a deductible, paste 0.50% onto this row, treat a crossed deductible as first-dollar, or treat the tip tab as if it answered the excess-only question.
