How to Track an Earnout Period

How to track an earnout period is a length ledger for the earnout window (start date, end date, bucketed length, measurement periods), not the earnout-presence tab, not the operating-covenant tab, and not the indemnity-setoff tab. For each signed deal, log whether an earnout is present or silent, the start and end dates copied (or missing), the length bucket copied from the PDF, the measurement-period schedule, the pointer to earnout-tracking, the pointer to earnout-operating-covenant-tracking, and status. What this ledger is (and is not)

An earnout period is the post-close window during which the earnout metric is measured and any contingent payment may become due. Fasken, Private M&A Deal Trends to Watch: Key Takeaways from SRS Acquiom's 2026 Study (May 7, 2026), recapping SRS Acquiom 2026 (more than 2,300 private-target transactions closed 2020 through 2025), prints that earnout length skewed sharply toward 1-2 years (38%) as compared with 1 year or less (23%) or 2-3 years (20%). The same Fasken recap prints earnout presence in 24% of deals (from 22% in 2024; 33% in 2023; historic average roughly 20%). Keep presence on earnout-tracking. DealLawyers, Study: Private Target Deal Terms (April 2026), recapping the same SRS study: 24% of 2025 deals included an earnout (excluding Life Sciences) versus 22% in 2024. Copy the clause, not the study percentage

Do not paste 38% onto a one-year paper. Do not paste SRS presence 24% or ABA presence 18% onto this length row as if presence answered how long the window runs. Do not treat Inkvex's about-21-month median as a second independent study. Do not fold this row into earnout-tracking, earnout-operating-covenant-tracking, earnout-indemnity-setoff-tracking, or earnout-potential-tracking. Presence is whether an earnout exists. Operating covenant is how the buyer must run the business. Setoff is whether indemnity can reduce a payment. Potential is max size versus closing payment. This row is how long the earnout window runs.

When a measurement period closes, log the copied end date, which bucket the PDF used, and whether an installment notice went out. That trail is what earnout counsel will ask for first.

When the ledger holds

The row holds if the seven cells are copied from the PDFs (or marked missing). It fails when you invent a length, paste 24% or 18% onto this length row, treat Inkvex 21 months as a second study, or treat the earnout-presence tab as if it answered the period question.
