How to Track a MAC Qualifier After Signing

How to track a MAC qualifier is a representation-qualification ledger from signing through the bring-down, not another MAE-definition rewrite. For each signed deal, log whether representations (and bring-downs) are qualified by "except as would not have a Material Adverse Change/Effect," whether the MAC/MAE term is defined, which carve-outs survive the qualifier, how knowledge and MAC stack, any interim notice of a possible MAC, and status through closing. What this MAC-qualifier ledger is (and is not)

A MAC (or MAE) qualifier softens a representation: the statement is true except for matters that would not have a Material Adverse Change or Effect. Stephen Bainbridge, citing the ABA Business Law Section's 2025 Private Target M&A Deal Points Study at page 26, reports that MAC qualifiers are almost universal. Between 2006 and 2025, the lowest inclusion was 92% in 2008. In 2024-25, 99% of deals included a MAC qualifier. A small percentage contain MAC qualifiers but fail to define the term (Bainbridge cites 2% of deals in 2022-23 for that undefined figure, not a 2024-25 undefined percentage). This ledger is not the MAE definition page, and it is not the knowledge-qualifier page. Definition is what MAC/MAE means and whether someone can walk. Knowledge is who knew what. This row is whether the qualifier words sit on which reps and on the bring-down.

Seven columns on one MAC-qualifier row

Open one row per signed deal. Attach the representations article, the bring-down condition, and the MAE/MAC definition (or mark undefined).

  • Qualifier present on which reps. All reps, non-fundamental only, a named list, or none. Bainbridge / ABA p.26: 99% of 2024-25 deals included a MAC qualifier (Study low 92% in 2008). Copy which reps carry the qualifier. Do not paste 99% onto a deal with no MAC qualifier.

  • Definition exists. Yes or no, plus a pointer to the MAE-definition row. Bainbridge notes that some deals qualify with MAC language but fail to define the term (2% in 2022-23). Do not invent a 2024-25 undefined-MAC percentage. Copy "defined," "undefined," or "silent definition" from your PDF.

  • Bring-down uses the same qualifier. Whether the closing bring-down of representations carries the same MAC qualifier, a tighter one, or none. Copy the bring-down sentence.

  • Carve-outs that survive the qualifier. Industry, economy, war, pandemic, deal-announcement effects, and any disproportionate-impact backdoor. Keep the full carve-out list on the MAE-definition row. This cell notes which carve-outs still matter when a rep is MAC-qualified.

  • Knowledge vs MAC stacking. Whether a rep is also knowledge-qualified. Do not collapse this into the knowledge-qualifier-tracking row. This cell only notes "MAC only," "knowledge only," "both," or "neither" as a pointer.

  • Interim notice. Whether the paper requires notice if a possible MAC is flagged between signing and closing. Copy the notice duty and any dates of notices given.

  • Status. Copied, monitoring, possible MAC flagged, disputed, waived, closed, or terminated. When the bring-down is delivered, book the date.

Copy the clause, not the study percentage

Do not paste 99% onto a deal with no MAC qualifier. Do not paste the 2022-23 2% undefined figure onto a 2024-25 paper as if it were current Study data. Do not rewrite the MAE definition page here, and do not fold this row into knowledge-qualifier tracking. Definition is the noun. Knowledge is who knew. Qualifier is the "except as would not constitute a MAC" wrapper on the reps. Keep them separate so a bring-down certificate maps to the right cell.

When a customer loss or regulatory letter arrives after signing, log whether the affected rep is MAC-qualified and whether the definition (if any) would treat that event as an MAE. That trail is what closing counsel will ask for first.

When the ledger holds

The row holds if the seven cells are copied from the PDFs (or marked missing). It fails when you invent a qualifier, ignore an undefined MAC term, or treat the MAE-definition tab as if it answered which reps are qualified.
