How to Track a Purchase Price Adjustment Dispute
How to track a purchase price adjustment dispute is a post-close true-up dispute ledger (initial proposed adjustment, disputed yes or no, final direction, escrow soak), not the working-capital peg tab, not the accounting-method tab, and not the PPA-escrow-size tab. For each closed deal, log PPA present, initial direction and amount, disputed yes or no and notice date, the dispute process copied, final direction and amount, the escrow-soak pointer to purchase-price-adjustment-escrow-tracking, and status. Raziel's working capital adjustment tracking page is the peg. This page is the purchase price adjustment dispute.
This is not legal, tax, insurance, or investment advice. Raziel does not provide it. Copy the proposed statement, the dispute notice, and the final adjustment from the PDF. Do not paste Goulston's PPA escrow prints (58% / 42%) onto this dispute row, and do not invent a 2025 percentage for transaction expenses in the PPA when Business Law Today flags that datapoint with no published percentage.
What this ledger is (and is not)
A purchase price adjustment dispute is the post-close fight over the true-up: the buyer's initial proposed adjustment, whether the seller contests it, the dispute process, the final direction, and how much of any PPA escrow is soaked. DealLawyers, Purchase Price Adjustments: SRS Acquiom Working Capital PPA Study (February 2026), recapping SRS Acquiom 2026 (more than 1,570 private-target acquisitions, aggregate deal value about $385 billion, closed 2020 through Q3 2025, with a finalized PPA), prints 92% of deals during the survey period had PPA provisions; 57% initial buyer-favorable versus 34% seller-favorable; 22% of initial buyer-favorable claims disputed versus 6% of seller-favorable; 51% of finals buyer-favorable versus 38% seller-favorable; DealLawyers recap of escrow soak 77% average / 38% median for buyer-favorable finals; buyer-favorable final 0.76% of transaction value (0.27% of median TV) and seller-favorable 0.68% of average TV (0.17% of median TV). Label those as a DealLawyers recap of SRS Acquiom 2026 (different population from ABA). The SRS PDF confirms the 57% / 34% initial split (plus 9% no adjustment), the 22% / 6% dispute split, the 51% / 38% final split, and the 0.76% / 0.27% and 0.68% / 0.17% TV prints. On Final PPA Adjustment Amounts, the PDF prints buyer-favorable finals at 74% of PPA escrow (average) and 33% (median), which does not match DealLawyers 77% / 38%. Label them separately. Your PDF controls the escrow-soak cell. Keep Goulston May 6, 2026 PPA escrow 58% / 42% sole source on purchase-price-adjustment-escrow-tracking. Business Law Today (December 16, 2025) added transaction expenses in the PPA as a new 2025 datapoint with no published percentage. Pointer only to transaction-expenses-ppa-tracking. Those are study snapshots. Your PPA statement, dispute notice, and escrow agreement control.
This ledger is not working-capital-adjustment-tracking (the peg and the target), not ppa-accounting-method-tracking (GAAP versus worksheet), and not purchase-price-adjustment-escrow-tracking (whether a separate true-up pot exists and how large it is). Book peg, method, and escrow size as overlay pointers, not as a rewrite of this dispute row.
Seven columns on one row
Open one row per closed deal. Attach the estimated closing statement, the proposed final statement, the dispute notice, and pointers to working-capital peg, accounting method, and PPA escrow.
PPA present. DealLawyers recap of SRS 2026: 92% of deals during the survey period had PPA provisions (PDF also labels 92% on All 2022-2024 Q3 Deals). Copy presence. Do not paste 92% onto a locked-box paper.
Initial proposed direction and amount copied. DealLawyers / SRS PDF: 57% initial buyer-favorable, 34% seller-favorable, and (PDF) 9% no adjustment. Copy direction and dollars.
Disputed yes or no, and notice date. DealLawyers / SRS PDF: 22% of initial buyer-favorable adjustments disputed versus 6% seller-favorable. Copy the notice date. Do not paste 22% onto an undisputed paper.
Independent accountant or dispute process copied. Copy the accountant, the exclusive-process sentence, and the deadlines. The SRS PDF discusses dispute-resolution drafting. Do not invent a Study percentage for this limb.
Final direction and amount. DealLawyers / SRS PDF: 51% of finals buyer-favorable versus 38% seller-favorable. Buyer-favorable 0.76% of TV (0.27% of median TV); seller-favorable 0.68% / 0.17%. Copy the signed final.
Escrow soak pointer to purchase-price-adjustment-escrow-tracking. Pointer only. DealLawyers recap 77% average / 38% median soak; SRS PDF 74% / 33%. Label separately. Keep Goulston 58% / 42% on the escrow page. Mark soak versus remaining.
Status. Statement delivered, undisputed, disputed, with accountant, finalized, escrow soaked, or walked. When dollars move, book the date so the initial proposal is not overwritten by the final.
Copy the clause, not the study percentage
Do not paste 92% onto a deal with no PPA. Do not paste 22% onto an undisputed statement. Do not blend DealLawyers 77% / 38% with the SRS PDF 74% / 33% into one soak percentage. Do not paste Goulston 58% / 42% onto this dispute row. Do not invent a transaction-expenses-in-PPA percentage. The peg is the target. Method is GAAP versus worksheet. Escrow size is the pot. This row is whether the true-up was disputed, and how it ended.
When a proposed statement arrives, log direction, amount, whether a dispute notice went out, and the final. That trail is what post-close counsel will ask for first.
When the ledger holds
The row holds if the seven cells are copied from the PDFs (or marked missing). It fails when you invent a dispute, blend 77% with 74%, paste 58% / 42% onto this row, invent a transaction-expenses-in-PPA percentage, or treat the working-capital peg tab as if it answered the dispute question. Raziel's alternative asset dashboard is where the proposed statement, the dispute notice, and the final adjustment should sit together. Raziel does not decide your true-up. Copy the seven columns.
