How to Track Escrow Holdback on a PE Portfolio Exit
How to track escrow holdback is the ledger you keep after the company already sold: remaining escrow versus claims versus release dates. It is not a merger indemnity explainer. This page is six fields on the purchase agreement you closed: holdback amount, escrow agent, release date(s), claims against escrow, remaining, currency.

What this ledger is (and is not)
The NVCA Model Certificate of Incorporation (updated October 2025) is a financing charter, not a merger form. Section 2.3.4 still follows preferred stock into a Deemed Liquidation Event. Consideration placed into escrow or retained as a holdback may be treated as Initial Consideration or Additional Consideration. Those labels are brackets. Copy the charter and the purchase agreement. Do not paste a bracket into the row.
Six columns on one exit row
Open one row per escrow or holdback after close. Do not collapse a general indemnity account with a working capital account or a special account. Fasthoff Law Firm (July 6, 2026): transactions may use a general indemnity escrow, a purchase price adjustment escrow, and one or more special escrows. Each should have its own amount, claim standard, release date, and remedy provisions. Copy each field from the documents. If a field is missing, store that it was missing. A headline purchase price is not remaining escrow.
Holdback amount. The dollars or other property deposited with the holder, or retained by the buyer, at closing, as printed. Date the figure. Do not invent a percent of price.
Escrow agent. The holder named in the escrow agreement. Fasthoff: a bank, trust company, law firm, or other person may serve. If the buyer retained a holdback, store buyer holdback, not an agent name you guessed.
Release date(s). The scheduled date or dates in the agreement. Staged releases are more than one date. Copy them. Do not invent a survival period.
Claims against escrow. Cumulative amount noticed, reserved, or paid from the account, with the notice date. Empty if no notice has arrived.
Remaining. Holdback amount minus amounts already released and amounts already paid on claims, unless the agent statement prints a different remaining. Do not invent a dollar example.
Currency. The currency the documents use. Do not convert.
Escrow versus holdback is the agreement, not a market default
Fasthoff: with an escrow, the parties place part of the purchase price under an escrow holder's control. With a holdback, the buyer retains that amount. Both delay payment. Ryan Roberts (Startup Lawyer, updated April 29, 2026): an escrow is held by a third party; a holdback is retained by the buyer. Store which one you have. Store the agent, the paying agent, and the account on file.
Claims are notices. Remaining is not the headline price
Fasthoff: an escrow holder follows the written instructions in the escrow agreement. Copy the claim notice. Do not guess a claim amount or a number of days. Remaining is not the headline purchase price. Closing cash already left. Shares a GP later sends in kind sit on Raziel's in-kind page, not in this remaining cell. When a release posts, log it as a dated cash event. Do not rewrite the original holdback amount.
When the ledger holds
The row holds if holdback amount is the agreement's, escrow agent (or buyer holdback) is named, release date(s) are copied, claims against escrow are dated notices or empty, remaining is the gap under those documents, and currency is the documents' currency. It fails when you paste a market percent, invent a release period, collapse two accounts, or treat remaining as last quarter's headline price.
