How to Track Organizational Expenses vs the LPA Cap

How to track organizational expenses is the formation ledger you keep after the LPA is already signed: the LPA cap copied, line item, billed to (fund versus GP), amount on the notice, cumulative versus cap, remaining cap, and excess treatment copied (GP absorb, deferred, or none stated). It is not the ongoing management-company versus fund split. Raziel's management company expense tracking page is salary and overhead after close. What this ledger is (and is not)

ILPA's Model Limited Partnership Agreement (Whole-of-Fund, July 2020) defines Organizational Expenses as fees, costs, and expenses reasonably and properly incurred by the General Partner or its Affiliates in connection with forming the Fund, including related travel, meals, and lodging (not entertainment, not private air travel) and the costs of a most-favored-nations process, and excluding placement-agent fees or expenses. The Model LPA's Organizational Expenses Cap is a blank: the lesser of [__]% of aggregate Commitments and [__]. Copy those fill-ins from the signed LPA. Do not paste a percent you do not have. Section 2.5.3: the Fund pays or reimburses the GP and Affiliates for their pro rata share (Parallel Vehicles and Alternative Vehicles) of Organizational Expenses notified under Section 2.5.4.1, in an aggregate amount not exceeding that cap. Section 2.5.4.1: as soon as reasonably practicable after the Final Closing Date, notify Limited Partners of the aggregate and a detailed break-down, including legal fees and expenses. Section 2.5.4.2: each Drawdown Notice identifies amounts used to fund Organizational Expenses. Raziel's placement agent fee tracking page is the placement-agent row. ILPA Principles 3.0 (June 2019): formation costs should be reasonable and capped at an amount appropriate to fund size. Successor-fund cap increases should not automatically scale with fund size. They should track specific cost factors not otherwise covered by the management fee (Principles names placement-agent expenses or a new regulatory regime as examples of those factors, not as a percent). If the agreed cap is exceeded, any excess should be offset against the management fee. That offset is ILPA's preferred excess treatment, not your LPA. Side-letter negotiation costs should sit inside the agreed cap. Costs not subject to the cap should be fully disclosed. Vehicle-specific formation costs (alternative, parallel, co-invest), including organization expenses of the GP specific to the GP's commitment, should be borne solely by that vehicle.

ILPA's May 2026 guidance (The Alignment Gap: Rethinking Costs in Private Equity Fund Formation) prefers LP-borne organizational expenses capped at the lower of 5 basis points of target AUM or $10 million, and a 50-50 split of any overage. Those figures are ILPA's preferred model, not a market rate and not your signed cap. DLA Piper (Dan Fabian and Jeremy Doane, 8 June 2026) restates that three-part frame, including putting side-letter and MFN work inside the cap rather than as uncapped partnership expenses.

Seven columns on one formation row

Open one row per line item, per fund. Copy each field from the LPA and the latest pack. If a field is missing, store that it was missing.

  • LPA cap copied. The dollar amount, the percent of Commitments, or both, exactly as the LPA fills the Model LPA blanks. Store "none stated" if the LPA is silent. Do not invent ILPA's 5 basis points or $10 million as the cap.

  • Line item. The named cost on the notice or the Section 2.5.4.1 break-down. Copy the label (fund counsel, formation filings, MFN process, formation travel). Do not rename a placement-agent invoice as legal.

  • Billed to (fund vs GP). Who bears the cash: the fund (billed to LPs) or the GP / management company. Copy the LPA. Model LPA 2.5.3 puts notified Organizational Expenses on the fund up to the cap. Principles 3.0 puts GP-commitment formation costs on the GP vehicle.

  • Amount on the notice. Dollars on that line, in the notice currency. Do not back into the amount from remaining cap.

  • Cumulative vs cap. Running total of Organizational Expense lines versus the copied cap.

  • Remaining cap. Copied cap minus cumulative, only if both inputs exist. If either is missing, store that it was missing.

  • Excess treatment copied. What the LPA says happens after the cap: GP absorb, deferred (Principles 3.0 prefers a management-fee offset), 50-50 (ILPA's May 2026 preferred overage split), or none stated. Copy the clause. Do not invent the split.

When the ledger holds

The row holds if the cap is copied (or stored as missing), the line item is the pack's label, billed-to is fund or GP from the LPA, amount is a dated notice line, cumulative and remaining cap are math on copied inputs, and excess treatment is copied (GP absorb, deferred, or none stated). It fails when you invent a cap percent, fold a placement-agent fee into formation legal, treat this row as the ongoing man-co versus fund split, or bill LPs above the cap because the vendor invoiced the partnership. Feed dated cash to an IRR calculator only after you know which formation dollars sat under the cap (LPs) and which sat after it (management company versus LPs).
