Wagner Hicks, The New Normal in Private M&A: Key Takeaways from the 2025 ABA Deal Points Study, recapping ABA 2025 (139 acquisition agreements executed or completed in 2024 and Q1 2025), prints that 90% of deals included a post-closing purchase price adjustment that typically takes into account working capital, debt, transaction expenses, and cash on hand, down slightly from 92% in the prior study.
