How to Track a MeToo Representation
How to track a MeToo representation is a workplace-harassment / #MeToo representation ledger from signing through bring-down and indemnity notices, not a news recap of harassment cases and not another compliance-with-laws tab. For each signed deal, log whether a #MeToo representation is present or silent, whether it is stand-alone or buried in a general employment or no-harassment sentence, whether allegations of sexual harassment are in scope, whether settlement-agreement coverage (and any knowledge qualifier) appears, whether corrective-action language appears, how the row overlaps with compliance-with-laws or labor reps, and status. What this ledger is (and is not)
A #MeToo representation is a workplace-harassment representation in a private-target purchase agreement. Buyers use it to pin down sexual-harassment allegations, related settlements, and (less often) corrective action, as deal-ops text, not as a press summary of any case. Reuters Practical Law The Journal, M&A Market Trends in Focus (2024), June 13, 2024 (Pearlman/Paterno), recapping the 2023 ABA Private Target Deal Points Study, reports a sample of 108 agreements executed or completed in calendar 2022 or Q1 2023, private target acquired by a public buyer, $30M to $750M (most under $200M), 26 simultaneous / 82 deferred. Based on input from Ally Coll of The Purple Campaign, 57% of all transactions in the 2023 Study included a stand-alone #MeToo representation, versus 37% in the 2021 Study pool. Among those #MeToo representations, corrective-action language appeared in 5%; settlement-agreement coverage appeared in 74% (11% knowledge-qualified); and allegations of sexual harassment appeared in 100% of #MeToo representations (37% knowledge-qualified). K&L Gates via Mondaq (January 9, 2024) and Bass, Berry & Sims (December 19, 2023) print the same 57% versus 37% figures, and the same 5% / 74% (11% knowledge) / all-allegations (37% knowledge) split. Kevin Kyte (Issue Group Leader, Representations) in the Reuters piece notes that when the studies first reviewed #MeToo reps for the 2019 Study, very few agreements had any (other than a short reference to no-harassment claims), while the 2023 Study showed 57% included robust #MeToo reps. Fasken (Mondaq, March 5, 2024) recaps the same 2023 US study as 57% from approximately 40% in the 2020-21 study; treat that as a rounded recap, not a third count, and prefer the 37% 2021 figure from Reuters, K&L Gates, and Bass Berry (study chairs). Goulston's 2025 overview (May 6, 2026) and the Business Law Today / K&L Gates announcement (December 16, 2025) do not publish a 2025 #MeToo percentage. Do not invent one. The ABA 2025 sample frame (K&L / BLT) is 139 agreements, $25M to $900M, 42 simultaneous / 97 deferred. Those are study snapshots. Your representations article controls.
