How to track a compliance with laws representation is a statutes-and-permits ledger from signing through bring-down and indemnity notices, not another no-undisclosed-liabilities catch-all tab. For each signed deal, log whether a compliance-with-laws representation is present or silent, whether coverage is past as well as present (and any lookback years copied), whether a knowledge qualifier sits on the rep, whether notices of investigations and notices of violations are carved in, how the row overlaps with topic-specific reps (environmental, labor, benefits, permits), and status. What this ledger is (and is not)
A compliance with laws representation says the target has complied (and often is complying) with applicable laws, with exceptions and notice carve-outs as drafted. Goulston & Storrs, What's Market: Compliance With Laws Representations (May 13, 2024), recapping ABA Private Target studies (2023 study: 108 deals, transaction values $30M to $750M), reports inclusion in 98% to 100% of reported transactions over the past eight ABA studies (the 2005 study did not look at this rep). Knowledge qualifiers are rare: not more than 2% in the past four studies, and 1% and 2% in the past three studies. Past as well as present compliance appeared in 76% of 2007 deals and 91% of 2023 deals, after dropping in the five studies prior to 2023 (2013, 2015, 2017, 2019, 2021); Goulston notes that one-fifth to one-third in those five is not consistent with the author's experience. Notices of investigations are the exception rather than the rule (17% of deals in the 2023 ABA study). Notices of violations appear in 70% or more of deals in seven of the nine studies between 2007 and 2023. Goulston's 2025 overview (May 6, 2026) lists Compliance With Laws Representations as a Bloomberg series topic but does not publish a 2025 percentage in that overview. Do not invent one. The ABA 2025 Study sample frame, as summarized by K&L Gates / Business Law Today (December 2025), is 139 publicly available private-target agreements executed and/or closed in 2024 or Q1 2025, middle-market purchase prices $25M to $900M (majority under $200M), with 42 simultaneous sign-and-close deals and 97 deferred. Copy the clause, not the study percentage
Do not paste 98% to 100% onto a silent deal. Do not invent a 2025 ABA Study percentage when Goulston's 2025 overview does not publish one for compliance-with-laws representations. Do not paste 91% past-and-present coverage onto a present-only paper, and do not paste 17% investigations or 70%+ violations onto a deal that lacks those carve-ins. Do not fold this row into no-undisclosed-liabilities tracking, knowledge-qualifier tracking, or rule-10b-5-representation tracking. NUL is the liabilities catch-all. Knowledge is the general definition. 10b-5 is a rarer disclosure phrasing. This row is the compliance-with-laws text, its past/present scope, and its notice carve-ins.
When a post-close compliance notice arrives, log whether the PDF covered past as well as present, whether investigations or violations were carved in, and which topic-specific rep (if any) also speaks to the same facts. That trail is what indemnity counsel will ask for first.
When the ledger holds
