How to Track a Full Disclosure Representation

How to track a full disclosure representation is a catch-all disclosure ledger from signing through bring-down and indemnity notices, not another standalone 10b-5 phrasing tab. For each signed deal, log whether a full-disclosure representation is present or silent, whether it stands alone or appears only with a 10b-5 representation, whether a 10b-5 is also present, any knowledge qualifier, schedule exceptions, basket and cap treatment, and status. What this ledger is (and is not)

A full disclosure representation says the seller has disclosed everything material (or everything required) under the agreement's disclosure standard, often paired with Rule 10b-5 style language. Goulston & Storrs, 2025 ABA Private Target M&A Deal Points Study: What's Market? (May 6, 2026), reports that 10b-5 inclusion declined from a peak of 67% in the 2009 publication to 5% of deals in the current Study. A full disclosure representation is virtually never made as a standalone representation in the absence of a 10b-5 representation. If a full disclosure representation is made, it is only made in conjunction with a 10b-5 representation. Do not invent a standalone 2025 percentage for full-disclosure presence. The public recap says virtually never standalone and 10b-5 at 5%. The ABA 2025 Study sample frame (K&L Gates / Business Law Today, December 2025) is 139 publicly available private-target agreements executed and/or closed in 2024 or Q1 2025, $25M to $900M (majority under $200M), with 42 simultaneous sign-and-close and 97 deferred. No-undisclosed-liabilities representations remain almost always on the paper (Goulston NUL article: 92% to 99% across ten studies). That is a pointer to the NUL page, not a rewrite of NUL here. This ledger is not rule-10b-5-representation tracking alone (the 10b-5 phrasing row), not no-undisclosed-liabilities tracking (the liabilities catch-all that studies still show on almost every paper), and not non-reliance-provision tracking (buyer acknowledgment / non-reliance language). Full disclosure here is whether the paper pairs a full-disclosure sentence with 10b-5, or is silent on both.

Seven columns on one row

Open one row per signed deal. Attach the representations article, any disclosure schedules, and a pointer to the 10b-5 and NUL rows.

  • Present or silent. Full-disclosure representation present, or silent. Do not invent a standalone 2025 presence percentage. Goulston 2025: full disclosure is virtually never standalone; if made, only with a 10b-5. Copy presence from your PDF.

  • Standalone vs only-with-10b-5. Goulston 2025: virtually never standalone in the absence of a 10b-5; if made, only in conjunction with a 10b-5. Mark standalone (rare), paired, or silent.

  • 10b-5 also present yes/no. Goulston 2025: 10b-5 inclusion declined from a peak of 67% in the 2009 publication to 5% of deals in the current Study. Pointer cells may sit on the 10b-5 page for phrasing detail. Keep both labeled.

  • Knowledge qualifier if any. Copy "none," "actual," or "constructive" only if the PDF puts a knowledge overlay on the full-disclosure or paired 10b-5 sentence. Do not invent one.

  • Schedule exceptions. List schedule references and any "except as disclosed" language that softens the catch-all. A long schedule is a different book than a clean catch-all.

  • Basket/cap treatment. Usually inside the general basket and cap. Copy any special treatment. Keep basket and cap dollars on those rows; this cell only notes whether full disclosure / 10b-5 sits inside the general stack.

  • Status. Copied, bring-down delivered, claim noticed, disputed, settled, or closed. When a claim cites full disclosure or the paired 10b-5, book the date.

Copy the clause, not the study percentage

Do not paste 5% onto a deal that has a 10b-5 as if the print were the clause, and do not invent a standalone full-disclosure percentage when Goulston says full disclosure is virtually never standalone. Do not fold this row into rule-10b-5-representation tracking, no-undisclosed-liabilities tracking, or non-reliance-provision tracking. The 10b-5 page tracks phrasing. NUL is the operational liabilities catch-all still almost always on the paper (Goulston: 92% to 99% across ten studies). Non-reliance is the buyer acknowledgment. When a post-close disclosure claim arrives, log whether full disclosure appeared, whether it was paired with 10b-5, and which schedule exception (if any) was cited. That trail is what indemnity counsel will ask for before any catch-all fight.

When the ledger holds

The row holds if the seven cells are copied from the PDFs (or marked missing). It fails when you invent a full-disclosure rep, invent a standalone 2025 percentage, invent a knowledge overlay, or treat the NUL or 10b-5 tab as if it answered the pairing question.
