How to Track a 10b-5 Representation After Signing

How to track a 10b-5 representation is a disclosure-and-survival ledger from signing through closing and claims, not a vague “full disclosure” checkbox. For each signed deal, log whether a Rule 10b-5 style representation exists, whether a full disclosure representation sits with it, what it covers (statements in the agreement, schedules, or a wider set), how it interacts with non-reliance and exclusive remedy, whether it survives closing, and status of any claim that turns on omitted or misleading statements. What this 10b-5-representation ledger is (and is not)

A 10b-5 representation (named for the anti-fraud rule’s phrasing) is a contractual statement that, typically, none of the representations and warranties in the agreement (and often the schedules) contains an untrue statement of a material fact or omits a material fact necessary to make the statements not misleading. Goulston & Storrs, summarizing the ABA’s 2025 Private Target M&A Deal Points Study (139 agreements from 2024 and Q1 2025), reports that inclusion of 10b-5 representations has steadily decreased from a peak of 67% in the 2009 publication to a low of just 5% of the deals in the current Study. Goulston also notes that a full disclosure representation is virtually never made as a standalone representation without a 10b-5 representation. If it appears, it appears with the 10b-5 representation. Those are study snapshots. Your PDF controls.

The decline matters for portfolio ops because older form agreements still circulate in data rooms. A 2010 template with a catch-all is not “market” for a 2025 middle-market deal. Log what the signed PDF actually says. Do not import a catch-all from a prior deal’s playbook.

Seven columns on one 10b-5-representation row

Open one row per signed deal. Attach the representation article, the schedules index, and any non-reliance clause.

  • Present or absent. Goulston: 5% of the 2025 Study still had a 10b-5 representation (down from 67% in 2009). Copy the sentence (or “absent”). Do not paste 5% onto a deal that has no catch-all.

  • Full disclosure companion. Whether a separate full disclosure representation sits with the 10b-5 text. Goulston: full disclosure is virtually never standalone. Copy both sentences if both exist, or mark “10b-5 only” / “neither.”

  • Scope of statements. Agreement only, agreement plus schedules, or a wider set (disclosure letter, other writings). Copy the defined set. A schedules-only catch-all is a different book than one that reaches management presentations.

  • Materiality and knowledge overlays. Whether the catch-all is itself materiality-qualified or knowledge-qualified. Keep scrape and knowledge-qualifier rows separate. This cell is whether the catch-all still has its own filters.

  • Non-reliance and exclusive remedy. Non-reliance tries to keep extra-contractual statements out. Exclusive remedy tries to keep non-indemnity claims out. A 10b-5 representation is inside the contract. Log all three. Do not treat non-reliance as deleting a 10b-5 rep that is still written in Article III.

  • Survival and RWI. Whether the catch-all survives closing, and whether RWI covers it or excludes catch-all / full disclosure style reps. Copy the survival clock and the binder schedule. Do not assume RWI follows every representation on the paper.

  • Status. Copied, omitted-fact claim noticed, claim barred by non-reliance or exclusive remedy, claim paid, or closed. When cash moves, book the date.

Copy the sentence, not the 5 percent print

Do not paste a 10b-5 representation onto a modern silent deal because older studies showed 67%. Do not invent a standalone full disclosure representation when Goulston says that form is virtually never alone. Do not fold this row into non-reliance. Non-reliance is about statements outside the agreement. This row is the catch-all still printed inside it.

If the catch-all is absent, say so explicitly on the row. Absence is useful data. It tells future you that an omitted-fact theory has to ride on a specific representation, on fraud, or on something outside the indemnity stack, not on a missing catch-all you assumed was there.

When the ledger holds

The row holds if the seven cells are copied from the PDFs (or marked missing). It fails when you invent a catch-all, ignore survival, or treat the private-target phrase as a securities lawsuit.
