How to Track Subsequent Close Equalization as an LP

How to track subsequent close equalization is the catch-up event when you join a closed-end PE or VC fund after the initial close: equalization capital (as if you had been called with day-one LPs), the equalization interest or interest-equivalent on the notice, and the resulting as-if-called paid-in capital (PIC). What subsequent-close equalization is

The ILPA Model LPA Term Sheet (Whole of Fund version): investors admitted after the Initial Closing Date are treated as if they had invested at the Initial Closing Date, participate in the Fund's investments, and pay their pro rata share of all drawdowns made prior to admission plus an additional payment on such amounts (other than drawdowns attributable to the management fee) at a rate of [•]% per annum, with adjustments for investments realized before admission. Final Closing Date in that term sheet is when the Fund ceases accepting Commitments (illustrated as 12 months from the Initial Closing Date). EisnerAmper splits the same economics into rebalancing or equalization, partner-to-partner interest (equalization interest), and a profit-and-loss true-up. Goodwin: later investors' equalization payments to earlier investors align interests; some funds allow those returned amounts to be recycled under the LPA.

Seven columns on one equalization row

Open one row per subsequent close for this commitment. Copy each field from the admission notice, wire schedule, and LPA. Do not invent a day-count or rate.

  • Original close date vs this subsequent close date. Initial Closing Date from the LPA or PPM, and the admission date on this notice.

  • Your commitment at this close. New or increased Capital Commitment on the subscription or amendment. Follow-ons sit on their own increase line.

  • Equalization capital (as-if called with first close). Your pro rata share of prior drawdowns (catch-up capital). ILPA Model LPA excludes management-fee drawdowns from the interest base in the term-sheet formula; still copy the notice line labels.

  • Equalization interest / interest-equivalent amount from the notice. The printed partner-to-partner interest or interest-equivalent. EisnerAmper's sample LPA language uses 6% per annum on the average daily balance of catch-up capital. Sample drafting only, not your fund's rate. Copy the rate and day-count from your LPA or PPM.

  • Who receives the interest (early LPs vs the fund). Copied from the LPA. EisnerAmper: the fund collects the interest and distributes it to existing investors pro rata based on ownership before the current sub close. ILPA's September 2025 Capital Call & Distribution Template guidance treats the transfer of subsequent close interest between LPs as a transaction "outside" the Fund (GP or adviser as conduit; not captured inside the Fund's legal entity). Do not assume fund income unless your LPA says so.

  • Resulting PIC / unfunded after equalization. As-if-called PIC after the catch-up wire, and ending unfunded on the notice or next statement. Raziel's paid-in capital tracking page is the ongoing funded column. Do not hard-code leftover unfunded as commitment minus PIC unless the notice walk matches.

  • Whether later closes can still happen (final close date if stated). Final Closing Date from the LPA or PPM if stated. ILPA's model term sheet ceases new Commitments 12 months after Initial Closing Date; your document may differ. Flag if another subsequent close can still occur.

Equalization capital is not the interest line

Two wires (or two lines on one notice) often move together. Equalization capital is your share of capital already called from early LPs. Equalization interest is the time-value add-on on that catch-up amount. EisnerAmper: GPs commonly net partner-to-partner interest alongside the rebalancing capital call, or collect and distribute it apart from the call. Log both amounts. Do not fold interest into PIC as another contribution unless the notice labels it that way. A management-fee true-up, when present, is a separate catch-up (often to the manager), not the partner-to-partner interest line.

Outside-the-Fund interest and your books

ILPA's CC&D guidance requires an Inside/Outside the Fund field and gives subsequent close interest between LPs as the outside-the-Fund conduit example. Impact on Unfunded Commitment is a separate required field. Store the interest amount and recipient from the LPA even when the template marks the transfer outside the Fund. When the row holds

The row holds if original vs this close date match the LPA and notice, commitment is the amount at this close, equalization capital and interest are separate labeled lines, recipient of interest is copied from the LPA (early LPs versus the fund), resulting PIC and unfunded match the post-equalization notice, and final close (or "later closes still open") is stated. It fails when you invent a rate, treat interest as management-fee income, or collapse this into the full capital-account statement.
