How to Track a Knowledge Qualifier on Reps

How to track a knowledge qualifier is a people-and-standard ledger from signing through indemnity claims, not a vibe that “management knew.” For each signed deal, log which representations are knowledge-qualified, whether the standard is actual or constructive, who is in the knowledge group, whether due inquiry is required, how disclosure schedules interact, how the qualifier sits next to a materiality scrape, and status of any claim that turns on what those people knew. What this knowledge-qualifier ledger is (and is not)

A knowledge qualifier limits a representation to what named people knew (actual knowledge) or to what they would reasonably be expected to know after due inquiry (constructive knowledge). Goulston & Storrs, summarizing the ABA’s 2025 Private Target M&A Deal Points Study (139 agreements from 2024 and Q1 2025), reports that 90% of those deals used a constructive knowledge formulation. The authors note that constructive knowledge rather than actual knowledge has increased fairly regularly year over year and is now in almost all of the deals, with some variation in how constructive knowledge is defined. Those are study snapshots. Your definition and your named people control.

Seven columns on one knowledge-qualifier row

Open one row per signed deal (child rows if different representations use different standards). Attach the knowledge definition, the Knowledge Parties schedule, and the disclosure schedules.

  • Which representations are qualified. Copy the list (litigation, compliance, contracts, environmental, and any others that say “to the Knowledge of the Company”). An unqualified fundamental representation does not belong on this row. A knowledge-qualified general representation does.

  • Actual vs constructive. Actual is what the listed people actually knew. Constructive is what they would reasonably be expected to obtain with due inquiry. Goulston: 90% constructive in the 2025 Study. Copy the verbs. Do not paste 90% onto an actual-knowledge paper.

  • Knowledge group. Named officers, directors, or a schedule of Knowledge Parties. Store names and titles. A constructive standard with two people is a different book than the same standard with twelve.

  • Due inquiry. Whether the definition requires inquiry of direct reports, review of files, or a stated process. Copy the inquiry sentence. “Would reasonably be expected to know” without a process is not the same as a mandatory inquiry of named reports.

  • Disclosure-schedule overlay. Whether a scheduled exception is treated as known, and whether the schedules are the only place knowledge lives. A fact on a schedule is not automatically “Knowledge” for an unqualified representation. Copy how the paper ties them.

  • Scrape and sandbagging. A materiality scrape does not erase a knowledge qualifier unless the scrape sentence names knowledge. Buyer-side sandbagging is a different knowledge fight (what the buyer knew at closing). Keep seller-knowledge on this row and buyer-knowledge on the sandbagging row.

  • Status. Copied, claim noticed that turns on the knowledge group, depositions or interviews of named people, claim paid, or closed. When a claim is paid, book the cash date.

Copy the named people, not the 90 percent print

Do not paste constructive knowledge onto an actual-knowledge definition. Do not treat “the Company” as the knowledge group if the paper names four officers. Do not fold seller knowledge into the sandbagging row. Sandbagging is whether the buyer can recover for a breach it already knew. This row is whether the seller’s representation was even breached, given what those people knew. Goulston also notes variation in how constructive knowledge is defined, so two “constructive” deals can still differ on due inquiry of direct reports. Copy that variation. Do not treat 90% as a single standard.

K&L Gates describes the 2025 Study sample as 139 middle-market deals with purchase prices from US$25 million to US$900 million (a majority below US$200 million). A knowledge definition copied from a larger deal is not automatically the definition on yours. The named people and the inquiry sentence on your PDF are the row.

When the ledger holds

The row holds if the seven cells are copied from the PDFs (or marked missing). It fails when you invent a due-inquiry process, expand the knowledge group, or mix buyer knowledge with seller knowledge.
